Committees

Members can contribute to the work and leadership of the Section through participation in its eight standing committees: Banking Law, Business / Professional Corporations, Franchising and Product Distribution, Nonprofit, Partnerships / Limited Liability Companies, Securities Law, Technology, UCC and an ad hoc Chapter 300 Committee.

Banking Law (See separate committee page)
This committee hosts the annual Banking Law Institute and holds CLE lunch meetings throughout the year. The Banking Law Institute and luncheon CLEs feature national and local attorneys on current issues in banking law, valuable handouts, and lively discussions. The committee also reviews and/or drafts new Minnesota legislation affecting financial institutions. Co-Chairs: Karen Grandstrand or Lori Sommerfield.

Business/Professional Corporations (See separate committee page)
This committee works closely with the Section’s Legislative Coordinator and the Secretary of State’s Office to monitor, react to, and testify regarding any proposed changes to the Business Corporation Act and/or the Professional Corporation Act. The committee periodically sponsors working groups to study and recommend changes to the Business Corporation Act and the Professional Corporation Act. The committee also sponsors periodic noontime seminars. Chair: Michael Stanchfield or Vice-Chair: Stephen Quinlivan

Franchising and Product Distribution
This committee is concerned with legislative, judicial and regulatory issues relating to systems for distribution of goods and services, particularly through franchised businesses and business opportunities, as well as the interests of the legal and business community involved in franchising. Chair: Gaylen Knack or Vice-Chair: Jonathan Toronto.

Nonprofit
This committee worked closely with legislative staff to draft the Nonprofit Corporation Act (Chapter 317A). The committee considers proposed changes to the Act and reviews other legal issues relating to nonprofit entities. Chair: Jennifer Reedstrom Bishop

Partnerships/Limited Liability Companies
This committee focuses on partnership issues and issues arising under the Limited Liability Company Act. The committee also from time to time either appoints or cosponsors subcommittees to deal with specific issues. Currently the committee is reviewing the Revised Uniform Limited Partnership Act prior to its proposed enactment in Minnesota. Co-Chairs: Lloyd Kepple and William D. Klein.

Securities Law
This committee monitors developments in Federal and State Securities Law and takes positions, or recommends positions to be taken by the Section, with regard to proposed changes in the law. Chair: Timothy Hearn or Vice-Chair: Thomas Lovett, IV.

Technology
This committee is interested in the legislative, judicial and regulatory issues presented by the use of technology by Section members, works with the Secretary of State's Office to address technology issues facing Section members, and provides technological "outreach" to Section members. The Committee is also exploring ways to increase electronic communication with Section members. Chair: Patrick Shriver

UCC (See separate committee page)
This committee monitors developments, both statutory and case law, regarding or affecting the Uniform Commercial Code, and presents periodic luncheon seminars on UCC issues and documentation.  The committee is presently reviewing Revised Article 9 of the UCC relating to proposals regarding safe harbor rules for debtor names for individuals on financing statements.  Co-Chairs:  Jim Pfau or Rob Beattie.
